Terms of Service
1. General
These terms govern use of the service operated by Company Ltd, company number 12345678, of Tel-Aviv (the "Company", "we", or the "Service").
The Service provides an AI-powered chat widget that is embedded in the customer's website and answers questions from visitors.
Opening an account and using the Service constitute acceptance of these terms. If you do not agree to them, do not use the Service.
2. Definitions
"Customer" - the business that opened an account on the Service.
"Visitor" - a person browsing the Customer's website who interacts with the widget.
"Customer Content" - any material the Customer supplies to the Service, including the knowledge base, documents, website addresses and settings.
"System Responses" - text generated by a language model in reply to a Visitor.
3. Accounts and approval
Opening an account requires our prior approval. Registration does not create a right to receive the Service, and we may refuse an application or approve it on conditions, at our discretion.
The Customer warrants that the details provided are accurate, that they are authorised to act for the business, and that they are permitted to install code on the website they named.
The Customer is responsible for safeguarding their credentials and for everything done through their account.
4. The Service
We will provide the Service with reasonable care and reasonable availability. The Service is provided as is, and we do not undertake that it will run continuously, without fault, or without interruption.
We may update, change or discontinue parts of the Service. Where a material change would affect existing use, we will give advance notice as far as practicable.
Usage limits are set by the plan approved for the Customer, including limits on message volume and resource use.
5. The Customer's responsibility toward their Visitors
This clause is material and should be read in full.
The Customer controls the personal data of Visitors to their website. The Customer is solely responsible for:
- informing Visitors that an automated chat operates on the site and that their conversations are stored;
- obtaining any consent required by law for collecting and processing data;
- publishing an adequate privacy policy on their website;
- handling Visitor requests concerning the data held about them.
In relation to Visitor data we act as a processor on the Customer's behalf and in accordance with their instructions. The Customer undertakes not to enter into the Service any special category or highly sensitive data, including medical information, identifying financial information, or payment card details.
6. System Responses
System Responses are generated automatically and may be inaccurate, incomplete or out of date.
The Customer understands that a language model may produce an incorrect answer even when the knowledge base is sound, and that we cannot guarantee the accuracy of any response.
System Responses do not constitute professional advice of any kind, including legal, medical or financial advice, and must not be relied on as such.
The Customer is responsible for the content shown to their Visitors through the widget, including System Responses. It is the Customer's responsibility to review answer quality, maintain the knowledge base, and configure the Service so that it suits their business.
We will not be liable for loss suffered by the Customer or by any third party as a result of reliance on a System Response.
7. Prohibited use
The Service may not be used to:
- breach any law;
- install the widget on a website the Customer is not authorised to modify;
- upload content that is infringing, offensive, misleading or unlawful;
- circumvent usage limits, reverse engineer, or attempt to gain unauthorised access to systems;
- place abnormal or automated load on the Service;
- resell or transfer access to a third party without our consent.
8. Data, privacy and retention
We store conversations between Visitors and the widget, Customer Content, and account data, in order to provide and improve the Service.
The Customer may request a copy of the account data we hold at any time.
On account closure we delete conversations, lead details, the knowledge base and the user accounts.
However, we retain for 7 years a limited business record comprising the identity of the Customer, contact details, the version of these terms accepted and the date of acceptance, plan and billing identifiers, and the decisions taken in respect of the account. This retention is necessary for the defence of legal claims and for compliance with record-keeping obligations. It does not include conversations, Visitor data, or the knowledge base.
9. Fees and trial period
Fees are set by the plan approved for the Customer and are payable in advance unless otherwise agreed in writing.
The Basic plan includes a 14-day free trial. Billing begins at the end of that period unless the account is cancelled beforehand. All other plans are billed immediately.
Prices are exclusive of VAT unless stated otherwise.
Late payment entitles us to suspend the account following notice.
Sums paid are non-refundable, except where the law requires otherwise.
10. Suspension and closure
The Customer may close their account at any time by contacting us.
We may suspend or close an account in cases of breach of these terms, non-payment, suspected misuse, or where required by law. Other than in urgent cases, we will give advance notice.
Suspension closes the dashboard. Its effect on the operation of the widget will be determined by the circumstances of the suspension.
11. Intellectual property
The Service, the software, the design and the documentation are the property of the Company. Nothing in these terms grants the Customer any right in them beyond a personal, limited and non-transferable licence to use the Service for the term of the engagement.
Customer Content remains the Customer's property. The Customer grants us a licence to use it solely for the purpose of providing the Service.
12. Limitation of liability
The Service is provided as is and subject to availability. We do not warrant that it will meet any particular requirement of the Customer or that it will operate without fault.
We will not be liable for indirect, consequential or special loss, including loss of profit, loss of business opportunity, or damage to reputation.
In any event, our total liability will not exceed the amounts actually paid by the Customer in the three months preceding the event giving rise to the claim.
These limitations do not apply in cases of wilful misconduct, or where the law does not permit them.
13. Changes to these terms
We may update these terms. Each version carries a version number and a date.
A material update will be brought to the Customer's attention, and fresh acceptance will be required on next sign-in to the dashboard. Continued use after acceptance constitutes agreement to the updated version.
The version accepted by the Customer is retained by us together with the date of acceptance.
14. Governing law and jurisdiction
These terms are governed by the laws of the State of Israel.
The competent courts of Tel Aviv shall have exclusive jurisdiction.
